1. Acceptance of Terms

By accessing or using any part of the Site, you agree to be bound by these Terms. If you do not agree to all the Terms, then you may not access the Site or use any services.

2. E-commerce Terms

A. Product and Service Offerings

The Site offers for sale digital goods, including:

1. Signed Images of the Artist: High-resolution digital files in PNG and/or JPG format.
2. Custom Made Songs: A service where the Darwinbeats team will create a unique musical work based on your specifications sung by Chloé Lucielle.

B. Custom Made Song Orders

Creative License: You acknowledge that the custom song is a creative work. While we will strive to meet your specifications, the final artistic direction remains at the sole discretion of the artist and producer.
Revisions: A single round of minor technical revisions (e.g., lyric correction or sound artefact repair) is permitted, but major changes to the song beyond a technical adjustment will be subject to additional fees.

Delivery: Custom songs will be delivered as digital audio files (MP3 format) to the email provided upon order completion.

C. Payments and Pricing

All prices are listed in GBP. You agree to pay all charges incurred by you or any users of your account and credit card (or other applicable payment mechanism) at the prices in effect when such charges are incurred.

3. Intellectual Property Rights (IP)

A. Site Content

The Site, including all of its original content (except for User Submissions), features, and functionality, are owned by Iconica Media Ltd. or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

B. AI Imagery and Artistic Likeness

The use of AI-generated imagery of the virtual artist, Chloé Lucielle, is protected intellectual property. You may not download, reproduce, distribute, or use these images for any commercial purpose without express written permission from Iconica Media Ltd.

C. Custom Made Song IP Ownership

Master Recording: Upon full payment, you are granted ownership of the specific master recording created for your custom song. You may use this master recording for personal, non-commercial use (e.g., sharing with friends, listening, posting it to personal social media accounts).

Underlying Composition & Publishing Rights: Iconica Media Ltd., Darwinbeats, and/or the contributing songwriter(s) and composer(s) retain all copyright ownership over the underlying musical work, lyrics, and composition. Any commercial use, public performance, distribution for profit, or synchronisation of the song (e.g., use in films, advertisements) requires a separate, negotiated license agreement and is strictly prohibited under these Terms.

D. Signed Images

Digital Images: The sale of a digital signed image grants you a limited, non-transferable license for personal, non-commercial display only.

4. User Conduct

You agree not to use the Site to:

Violate any applicable national or international law.
Infringe upon the intellectual property rights of others, including the artist's likeness or music.
Transmit any unsolicited advertising or promotional materials (i.e., "spam").

5. Disclaimer of Warranties and Limitation of Liability

The Site and all products/services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Iconica Media Ltd. disclaims all warranties.
